ଏହି ପରିସ୍ଥିତିରେ Tata Trusts ଏକ strategic restructuring proposal ଆଣିଛି। ଯୋଜନା ଅନୁସାରେ **TESS ଏବଂ Tata Consulting Engineers (TCE)**କୁ Tata Sons Private Limited ସହ merge କରାଯିବ। Tata Trusts କହିଛି ଯେ ଏହା ପରେ Tata Sonsର ନିଜସ୍ୱ operating business ଓ operating revenue ବଢ଼ିବ, ଯାହା ତାକୁ NBFC କିମ୍ବା Core Investment Company ଭାବେ classify ହେବାର ସୀମାରୁ ବାହାରକୁ ନେଇପାରେ।

Tata Sonsର IPO issue କାହିଁକି ଉଠିଲା?

Tata Sons RBI framework ଅନୁସାରେ Upper Layer NBFC category ସହ ଯୋଡ଼ିତ ରହିଛି। RBIର scale-based regulation framework ଅନୁସାରେ Upper Layer NBFCମାନଙ୍କ ଉପରେ ଅଧିକ regulatory oversight ରହେ, ଏବଂ ଏହି categoryରେ ଥିବା କମ୍ପାନୀଙ୍କ ପାଇଁ listing requirement ଲାଗୁ ହୋଇପାରେ। Tata Sonsକୁ RBIର NBFC recordsରେ CIC ଓ Upper Layer entity ଭାବେ ଦର୍ଶାଯାଇଛି।

ପ୍ରଥମତଃ, operating businesses merge ହେବା ପରେ Tata Sonsର total incomeରେ financial income ତୁଳନାରେ operating incomeର share ବଢ଼ିବ। Tata Trustsର ମତରେ ଏହା NBFCର “principal business” testରୁ companyକୁ ବାହାରେ ରଖିପାରେ।

ଦ୍ୱିତୀୟତଃ, Core Investment Company ଭାବେ classification ପାଇଁ group-company investments ସମ୍ପର୍କିତ asset thresholds ମଧ୍ୟ ରହିଛି। Operating assets ଯୋଡ଼ିବା ପରେ group companiesରେ investment combined assetsର 90% thresholdରୁ ତଳକୁ ଯାଇପାରେ ବୋଲି Tata Trustsର ଯୁକ୍ତି।
